Terms of Use
Effective Date: October 13, 2026
Last Updated: October 13, 2026
These Terms of Use ("Terms") govern your use of cityscapebookkeeping.com and the CityScape Bookkeeping LLC website, quote system, client portal, and related online features (collectively, the "Site").
The Site is operated by CityScape Bookkeeping LLC ("CityScape," "we," "us," or "our").
By using the Site, you agree to these Terms. If you do not agree, do not use the Site.
Eligibility
The Site is intended for individuals age 18 or older who are acting on behalf of themselves, a business, or an organization.
By using the Site, you represent that you are at least 18 years old and have authority to provide information and take actions on behalf of any business or organization you represent.
The Site Does Not Create a Client Engagement
Visiting the Site, submitting a contact form, requesting a quote, receiving a quote, creating a portal account, uploading information, or communicating with CityScape does not by itself create a bookkeeping, accounting, tax, advisory, fiduciary, or other professional engagement.
A professional engagement begins only when the requirements established by CityScape for that engagement have been completed, including any required final scope confirmation, engagement agreement, payment, and activation by CityScape.
CityScape may decline a prospective engagement before activation.
Quotes and Pricing
Quotes are based on information provided by the prospective client, including estimated transaction volume, requested services, bookkeeping condition, business structure, and other relevant information.
A quote is an estimate based on the information available at the time it is prepared.
During onboarding, CityScape may review QuickBooks information and other materials to confirm the actual scope, volume, and complexity of the requested work.
If the actual circumstances differ from the information provided during the quote process, CityScape may revise the proposed scope or price before beginning affected work.
The applicable engagement documents and confirmed scope govern the services ultimately provided.
Quotes are valid only for the period stated with the quote. If a quote expires or a prospective client does not proceed, CityScape may require a new quote.
Quote Acceptance Is Not the Engagement Agreement
Accepting a quote indicates that you wish to proceed with onboarding based on the quoted information.
Quote acceptance is not itself the final bookkeeping engagement agreement.
CityScape may require additional onboarding, scope confirmation, an electronic engagement agreement, payment, and activation before services begin.
Accurate Information
You agree to provide information that is accurate and complete to the best of your knowledge and to update CityScape when information relevant to your requested services materially changes.
CityScape may rely on information and records provided by you or by persons you authorize.
You are responsible for reviewing information submitted on behalf of your business and for promptly notifying CityScape of material errors or omissions.
Client Portal Accounts
Portal accounts are issued to individual users.
You may not share your password, authentication information, or account with another person.
If another person needs access, that person should receive an individual authorized account.
You are responsible for:
- maintaining the confidentiality of your login credentials;
- using reasonable security measures on devices used to access the portal;
- promptly notifying CityScape if you suspect unauthorized access;
- ensuring users you authorize have appropriate authority; and
- reviewing and updating access when a user's role or authority changes.
CityScape may suspend or revoke access when reasonably necessary to protect security, enforce these Terms, respond to suspected unauthorized activity, or administer a client relationship.
Business Access and Authority
Access permissions may differ by business and by user.
Access to one business does not automatically authorize access to another business.
Certain actions may be limited to a Primary Contact or another user with appropriate authority, including accepting pricing or service changes, managing users, transferring primary authority, or requesting termination of services.
You represent that you have appropriate authority when taking actions through the portal on behalf of a business.
Uploaded Documents
You may upload documents reasonably necessary for onboarding or services.
You agree not to upload material that:
- you do not have authority to provide;
- is unlawful;
- contains malicious software;
- is intentionally false or misleading; or
- is unrelated to the requested services and contains unnecessary sensitive information.
The portal is not intended to serve as your permanent records archive.
You are responsible for retaining original source documents and downloading reports or files you wish to keep.
CityScape may remove portal documents when they are no longer reasonably needed and may remove documents after onboarding is abandoned or after the client relationship ends, consistent with CityScape's Privacy Policy and applicable obligations.
QuickBooks and Account Credentials
CityScape may require access to QuickBooks Online to perform or verify bookkeeping services.
Clients should provide access through the appropriate QuickBooks/Intuit invitation or accountant-access process.
Do not provide CityScape through the Site or portal with your QuickBooks or Intuit password, multi-factor authentication code, recovery code, security answers, online banking password, or other credentials that CityScape has not specifically authorized you to provide.
You are responsible for maintaining your own subscriptions, accounts, permissions, and access with third-party providers unless the applicable engagement agreement expressly states otherwise.
Third-Party Services
CityScape may use or direct clients to third-party services such as QuickBooks/Intuit, DocuSign, email providers, scheduling services, payment services, or other technology providers.
Those services may be governed by separate terms and privacy policies.
CityScape is not responsible for a third-party provider's independent systems, outages, policies, security practices, or acts except to the extent responsibility cannot lawfully be excluded.
Payments and Agreements
The Site may display administrative information about engagement agreements, invoices, or payment status.
Electronic agreements and payments may be handled through separate third-party services.
The specific payment obligations, service fees, billing arrangements, cancellation terms, and scope of professional services are governed by the applicable quote, confirmed scope, engagement agreement, invoice, or other service document rather than these general Site Terms.
Educational Content and No Professional Advice
Articles, resources, videos, FAQs, examples, calculators, website content, social media content, and other general information provided by CityScape are for general educational and informational purposes.
General content is not individualized accounting, tax, legal, investment, financial-planning, or other professional advice.
You should not make a material financial, tax, legal, or business decision solely in reliance on general website content.
When appropriate, you should consult a qualified professional regarding your specific circumstances.
No Tax, Legal, or Investment Services Unless Expressly Agreed
CityScape provides only the services expressly identified in an applicable engagement.
Nothing on the Site should be interpreted as an agreement to provide tax preparation, tax filing, legal advice, investment advice, payroll processing, or another professional service unless CityScape expressly agrees to provide that service in writing.
Acceptable Use
You may not:
- attempt to gain unauthorized access to the Site, portal, another client's information, or another user's account;
- probe, scan, or test system vulnerabilities without written authorization;
- interfere with Site security or operation;
- introduce malware or harmful code;
- scrape, copy, or systematically extract protected portal information;
- impersonate another person;
- submit intentionally fraudulent or misleading information;
- use the Site for unlawful purposes; or
- attempt to circumvent access controls or security measures.
CityScape Bookkeeping may restrict or terminate access in response to suspected misuse.
Intellectual Property
Unless otherwise stated, the Site and its original content, branding, text, graphics, design, educational materials, workflows, and other materials are owned by or licensed to CityScape and are protected by applicable intellectual-property laws.
You may use publicly available Site content for ordinary personal or internal business reference.
You may not reproduce, sell, republish, distribute, or commercially exploit substantial portions of CityScape's proprietary Site content without permission, except as permitted by law.
Client-owned records and documents remain the client's property or the property of their respective owners.
Site Availability and Changes
CityScape works to maintain reliable access to the Site but does not guarantee that the Site or portal will be uninterrupted, error-free, or available at all times.
Maintenance, security events, third-party outages, internet failures, software changes, or circumstances outside CityScape's reasonable control may temporarily affect availability.
CityScape may modify, suspend, replace, or discontinue Site features when reasonably necessary.
Security
CityScape uses safeguards designed to protect information, but no electronic system is completely secure.
You agree to use reasonable security practices when accessing the Site, including protecting your credentials and devices and promptly reporting suspected unauthorized access.
You may not rely on the Site as the sole storage location for records you are legally or operationally required to retain.
Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND GENERAL WEBSITE CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
CITYSCAPE DOES NOT WARRANT THAT THE SITE WILL ALWAYS BE AVAILABLE, COMPLETELY ERROR-FREE, OR FREE FROM EVERY SECURITY RISK.
THIS DISCLAIMER RELATES TO THE SITE AND GENERAL WEBSITE CONTENT. ANY WARRANTIES OR PROFESSIONAL OBLIGATIONS APPLICABLE TO BOOKKEEPING SERVICES ARE GOVERNED BY THE APPLICABLE ENGAGEMENT AGREEMENT AND LAW.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CITYSCAPE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING SOLELY FROM USE OF OR INABILITY TO USE THE SITE.
ANY LIMITATION APPLICABLE TO PROFESSIONAL BOOKKEEPING SERVICES SHOULD BE GOVERNED BY THE APPLICABLE ENGAGEMENT AGREEMENT RATHER THAN THESE GENERAL SITE TERMS.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
Termination or Suspension of Site Access
CityScape may suspend or terminate Site or portal access when reasonably necessary because of:
- termination or completion of the client relationship;
- suspected unauthorized access;
- security concerns;
- violation of these Terms;
- fraudulent or unlawful activity; or
- another legitimate business, security, or legal reason.
Termination of portal access does not eliminate obligations or rights that arose before termination.
Privacy
Use of the Site is also subject to CityScape's Privacy Policy.
Electronic Communications
By providing an email address and using the Site, you agree that CityScape may send electronic communications reasonably necessary to administer your quote, portal account, onboarding, security, agreements, billing, and services.
Operational communications are separate from optional marketing or newsletter communications.

Changes to These Terms
CityScape may update these Terms from time to time.
The current version will display an updated "Last Updated" date. Material changes may be communicated through the Site, portal, email, or another reasonable method when appropriate.
Changes do not retroactively alter a separately executed professional engagement agreement unless permitted by that agreement and applicable law.
Severability
If a provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
Entire Agreement Regarding Site Use
These Terms and the Privacy Policy govern general use of the Site.
They do not replace an executed engagement agreement, confirmed scope of services, or other written agreement governing CityScape's professional services.
If these Terms conflict with an executed engagement agreement regarding professional services, the engagement agreement controls with respect to those services.
Indemnification
For purposes of these Terms of Use, "Proprietary Rights" refers to intellectual property and related legal rights, including copyrights, patents, trademarks, service marks, trade secrets, inventions, confidential information, and other rights protected by applicable law.
You agree to defend, indemnify, and hold harmless CityScape Bookkeeping LLC, its owners, employees, representatives, agents, and contractors from any claims, liabilities, damages, losses, or reasonable legal expenses arising from allegations that your use of the website or client portal violates another party's Proprietary Rights.
